Welcome to Goonz World! Goonz are a lifestyle brand built from our "Cryptoon Goonz" rubber hose characters. The Cryptoon Goonz are a collection of 6,969 characters created as art by Sean Morgan with the expectation that they will bring joy to everyone and resonate with their owners.

1. Ownership
What You Own
You own your purchased Cryptoon Goonz NFT. Cryptoon Goonz NFTs are minted on the Ethereum Blockchain. When you purchase that NFT you own the underlying Elements Traits and Final Composition of the art. Since Cryptoon Goonz NFTs collection contain multiple use of traits, all trait art assets are shared amongst all Cryptoon Goonz NFT Owners.
All NFTs ownership is verified cryptographically on the Ethereum Blockchain. This is proof of ownership and grants rights within this document. Once the NFT leaves ownership, all Personal and Commercial use terms are revoked.
What We Own
The name and Intellectual Property involved in the Cryptoon Goonz NFT Project (“Cryptoon Goonz”) is owned by the team here at Goonz, LLC. All rights that are not specifically granted to the users and owners of Cryptoon Goonz below are reserved by the team or DAO. This includes but is not limited to the intellectual property rights surrounding the images, names, logos, 3D layer files, trademarks, the website, the ability to mint 3D or voxel or other versions of Cryptoon Goonz, the look and feel of the user interface, the smart contract code, or anything else not specifically granted by any following licenses.
2. Personal Use
Goonz, LLC grants you a royalty-free license to use, copy, display, and modify your owned Cryptoon Goonz NFT Art. This usage is granted world-wide.
This is for the purposes of:
- Personal and Non-Commercial Use
- Display and use your NFT on the External Websites
- Ability to Buy, Sell, and Trade your NFT
- Deconstruct for usage of displaying Trait Asset Art
- Usage of the Cryptoon Goonz Name Icon and Logo
3. Commercial Use
Goonz, LLC grants unlimited use, copy, and display of your owned Cryptoon Goonz NFT Art.
This is for the purpose of creative derivative works based on the owned NFT. This is for the purposes of:
- Produce and Sell Merchandise up to $100,000 (Apparel, Printed Art, Stickers)
- Usage in Print (Comics, Graphic Novels, Posters, Animated Series)
We don’t want to see any other projects utilizing our individually crafted layers, so we are not open to you minting new NFTs that are derivatives of our project, change the original Cryptoon Goonz, or minting another full project using our Cryptoon Goonz in any way. Other than that, you can create whatever merchandise you would like up to $100,000 USD and should you approach that number or expect to go beyond it please reach out to the team and we’ll discuss a licensing deal for anything beyond that amount.
4. Excluded Use:
These terms exclude you from the following usage:
- Duplicating and Reselling your Cryptoon Goonz NFT as a Newly Minted NFTs without 80% or more modifications to the original art.
- Using your Cryptoon Goonz Traits as elements on Newly Minted NFTs without 80% or more modifications to the original art.
5. Definitions:
The following capitalized terms will have the following meanings:
“Art” means any art, design, and drawings that may be associated with a Cryptoon Goonz NFT that you Own.
“Own” means, with respect to a Cryptoon Goonz NFT, a Cryptoon Goonz NFT that you have purchased or otherwise rightfully acquired from a legitimate source, where proof of such purchase is recorded on the relevant blockchain.
“Purchased Cryptoon Goonz NFT” means a Cryptoon Goonz NFT that you Own.
"Trait Asset" means the Art associated with each graphic trait. This includes any trait listed in our traits assets as defined in our code.
Goonz, LLC retains the ownership of the Goonz Name and Logo. As well as rights to use, modify, and distribute all minted NFTs for use of marketing and promotional purposes. Goonz, LLC retains ownership and rights to distribute, copy, and modify Cryptoon Goonz Trait Asset Art, commercially and as NFTs.
Cryptoon Goonz NFTs Are Not Intended as investments. A Cryptoon Goonz NFTs is meant to be a fun Non-Fungible Token for you to collect. They are not meant as investment vehicles. We make absolutely no promise or guarantee that these NFTs will be worth anything more than what you and the market deem the art to be worth. This could very well be zero. You understand that they have no inherent monetary value, and they should be treated as nothing more than a collectible with potential future value or lack thereof.
6. Disclaimer
Our artwork and characters are original artistic combinations of rubber hose animation style with modern streetwear culture. While we pay homage to other rubber hose animators and streetwear brands, we are not affiliated with or sponsored by any of the original rubber hose characters or brands that are alluded to in our works.
Taxes
You are entirely responsible for any tax liability which may arise from minting or reselling your Cryptoon Goonz.
Children
The Goonz World and the Cryptoon Goonz NFTs are not targeted towards children. You agree that you are over the age of 18, or above the legal age of your jurisdiction, whichever is greater.
These terms are subject to change.
These Terms may be discretionarily modified or replaced at any time, unless stated otherwise herein. The most current version of this Agreement will be posted on the Website with the “Last Revised” date at the top of the Agreement changed. Any changes or modifications will be effective immediately upon posting the revisions to the Site. You shall be responsible for reviewing and becoming familiar with any such modifications. You waive any right you may have to receive specific notice of such changes or modifications. Use of the Platform by you after any modification to the Agreement constitutes your acceptance of the Agreement as modified. If you do not agree to the Agreement in effect when you access or use the Platform, we may, at any time and without liability or prior notice, modify or discontinue all or part of the Platform (including access to the Platform via any third-party links).
